These Terms of Service ("Terms") govern your access to and use of Vector CRM ("the Service", "we", "us"), a multi-tenant customer relationship management platform operated by Vector CRM. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Vector CRM is a CRM portal designed for insurance agencies and their agents. The Service integrates with GoHighLevel ("GHL") to synchronize contacts, conversations, appointments, policies, opportunities, and other customer relationship data. The Service is provided on a subscription basis.
The Service connects to your GoHighLevel account via OAuth to read and write data on your behalf. By connecting your GHL account, you authorize us to access the data types associated with the scopes you approve during connection. You may revoke this access at any time from your GHL account. We adhere to GHL's Marketplace Terms and data handling requirements.

You retain all rights to the data you upload, sync, or create through the Service ("Customer Data"). We do not claim ownership of your Customer Data. We process Customer Data solely to provide the Service, as described in our Privacy Policy.
The Service may process Protected Health Information (PHI) on behalf of covered entities as part of insurance workflows. Customers who require a Business Associate Agreement (BAA) must execute one with Vector CRM before processing PHI through the Service. Contact us to request a BAA.
Access to the Service requires an active subscription. Subscription fees, billing cycles, and usage-based charges (such as per-minute voice AI costs) are communicated at signup or on your billing page. Fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice.
You may cancel your subscription at any time from your billing settings or by contacting us. We may suspend or terminate your access for breach of these Terms, non-payment, or suspected abuse. Upon termination, your access to the Service will end, and we will delete or export your data in accordance with our retention policy within 30 days.
We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We may perform maintenance, updates, or modifications that temporarily interrupt access. We are not liable for any downtime or data loss resulting from third-party services (including but not limited to Fly.io, Supabase, Twilio, Mailgun, Google, Microsoft, Retell, Stripe, or GoHighLevel) outages.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTOR CRM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Vector CRM from any claims, damages, liabilities, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Florida.
